Terms of Service.
The short version
Floor is a tool for launching pump.fun coins together with NFT collections, minting those NFTs, and routing creator fees to the creator. Coins and collections are created by users, not by us. Nothing here is endorsed, vetted, or financial advice. Smart contracts and blockchains are experimental technology, trading is highly volatile, and transactions are irreversible: you can lose everything you put in. Launches, trades, and mints are signed in your own wallet. Your fee wallet is held in Privy's secure enclave, and the rest of your assets stay in wallets we never touch. Data is provided as-is. Use the Service only if this is acceptable to you and legal where you are.
1. Acceptance of Terms
By accessing or using Floor (the website and app, "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not use the Service. Your continued use of the Service following any updates to these Terms constitutes your acceptance of the revised Terms.
2. Description of Service
Floor is a launch tool on the Solana blockchain ("the Service"). It lets you launch a pump.fun coin together with a Metaplex Core NFT collection, lets holders mint NFTs from that collection by burning the coin or by paying the listed price, and routes the creator's share of the coin's creator fees to a fee wallet created for the creator in Privy. Some features described on the Service are still being released (see Section 5c). The Service reads publicly available on-chain data and market information from third-party sources including Pump.fun, Jupiter, GMGN.ai, DexScreener, and Solana RPC providers.
The Service is operated by Floor ("we", "us", or "our") and is provided as an operational convenience for creators and collectors. We may limit, suspend, or revoke access to the Service at our sole discretion.
2a. Eligibility and Restricted Jurisdictions
You may use the Service only if you are of legal age in your jurisdiction and legally permitted to do so. You may not use the Service if you are located in, incorporated in, or a resident of any jurisdiction where doing so is prohibited, or if you are subject to economic sanctions or listed on any list of prohibited or restricted parties. You are solely responsible for determining that your use of the Service is legal where you are, and for complying with all laws that apply to you.
2b. User-Created Coins; No Endorsement
Coins visible through the Service, including the Explore list and public coin pages, are created permissionlessly by third parties, not by Floor. The appearance of any coin, name, symbol, image, link, or description on the Service does not constitute an endorsement, verification, or vetting of any kind. Coin names, symbols, and metadata are supplied by their creators and may be misleading, offensive, or infringing. Anyone can create a token, including tokens designed to defraud buyers. Always do your own research.
3. No Financial Advice
Nothing on this platform, including but not limited to mint prices, floor prices, fee balances, holder lists, market cap figures, reward previews, weighting outputs, or any other content, constitutes financial advice, investment advice, trading advice, or any recommendation to buy, sell, hold, distribute, or acquire any asset.
Cryptocurrency and token markets are highly speculative and volatile. You acknowledge that all decisions to launch, trade, mint, burn, or hold any coin or NFT are made solely at your own risk and based on your own independent research and judgment. Floor bears no liability whatsoever for any losses, damages, or missed opportunities arising from any decisions you make in connection with the Service. Always conduct your own due diligence (DYOR) before acting.
3a. Assumption of Risk
By using the Service you acknowledge and accept, among others, the following risks: total loss of funds; extreme price volatility and illiquidity; smart contract bugs and exploits; blockchain failures, congestion, forks, and reorganizations; wallet and key management failures; irreversibility of on-chain transactions; front-running and other adversarial trading behavior; fraudulent or malicious tokens; and regulatory uncertainty. Digital assets are not legal tender, are not backed by any government, and are not covered by deposit insurance or investor protection schemes.
You should never commit funds you cannot afford to lose entirely. We do not own or control the underlying blockchains and cannot reverse, modify, or cancel transactions once broadcast.
4. Wallet Custody and Key Handling
Launches, trades, and mints are signed in your own wallet (for example Phantom). We never hold the keys to that wallet. To claim creator fees and make payouts, the Service must be able to sign transactions for your fee wallet, which Floor creates for you automatically and which is held in Privy's secure enclave. Each account uses a single fee wallet for all of its coins.
Each collection also has one minting key, held encrypted on our servers. It only co-signs a mint that pays the listed price inside the collection's supply cap, and it never holds anyone's coins or SOL.
- Secure-enclave custody. Wallet keys are held in Privy's secure enclave, not in our database. The Service asks the enclave to sign each transaction and never logs, displays, or returns private keys. Where Privy custody is not yet configured for an environment, a fee wallet may instead be an encrypted server wallet.
- Exporting your key. You can export your fee wallet's private key at any time. The key is decrypted in your browser, not on our servers. You are solely responsible for safeguarding any key you export.
- You remain the owner. The wallet and any assets in it are yours. Creator fees are routed to it on chain according to the split fixed at launch.
- Custodial risk. Signing on your behalf is an operational convenience, not a guarantee of security. You acknowledge the inherent risk that any system that holds or signs with keys, including ours and Privy's, may be compromised, and you accept that risk by using the Service. Do not deposit more than you are willing to route through the tool for its intended purpose.
5. Launches, Minting, and Fee Claims
When you launch a coin or collection, mint an NFT, or when the Service claims creator fees or makes a payout, Solana transactions are constructed, signed, and broadcast. You acknowledge that:
- On-chain actions are irreversible. Once a launch, trade, mint, burn, claim, or transfer is broadcast and confirmed, it cannot be undone. Coins burned to mint an NFT are destroyed and cannot be recovered. You are responsible for the parameters you choose, including a collection's supply cap, price curve, burn share, royalty, and art.
- Launches may complete partly. A launch takes two approvals. If the coin launches but the collection step fails, the coin remains live and the collection must be finished from the coin page.
- Holder data is derived from on-chain sources. Holder lists, balances, and hold-time weighting are computed from third-party and on-chain sources that may be incomplete, stale, or wrong.
- Transactions may partially fail. Individual transactions can fail, time out, or be skipped due to network conditions, insufficient gas, rate limits, or third-party outages.
- Purchases are market operations. Any action that buys a coin, including a mint paid in SOL, executes at prevailing market prices with slippage and price impact.
5a. Creator Fee Split
A coin's creator fees are split on chain at launch: 90% to the creator's fee wallet, 5% to buy and burn the Floor platform token, and 5% to the Floor treasury. The split is fixed at launch and cannot be changed afterwards. Until the Floor platform token exists, its 5% share accumulates in a platform wallet and is used for buy and burn once the token launches. The split is recorded on the Solana blockchain and is public and permanently visible on-chain. Collection royalties and any unburned share of a mint are paid to the creator's fee wallet. By launching a coin through the Service, you consent to this routing.
Blockchain networks additionally charge transaction fees that we do not control and do not receive. Where practical, applicable amounts are surfaced in the Service before you confirm an action.
5b. Collections and Marketplaces
Collections are standard Metaplex Core collections. They can be listed and traded on third-party marketplaces such as Magic Eden, Tensor, and Mallow, which Floor does not operate or control. Your use of those marketplaces is subject to their own terms. Royalty behaviour on third-party marketplaces depends on those marketplaces and on the Metaplex Core standard.
5c. Features in Development
Some features described on the Service are marked as rolling out or coming soon, including mint pricing in SOL, the floor sweep, and holder rewards. These features may change, be delayed, work differently than described, or never be released. Nothing on the Service is a promise that any such feature will be delivered.
5d. Rewards Not Guaranteed, No Price Guarantee, On-Chain Risk
Rewards are not guaranteed. Holder rewards and the floor sweep, where available, are mechanical properties of a collection, not a dividend, yield, or return on investment. Nothing in the Service constitutes a promise, obligation, or guarantee that any holder will receive any reward, burn benefit, or payout of any amount, at any time, or at all.
No price guarantee. Mint pricing rules, burns, sweeps, and rewards do not guarantee any increase, floor, stability, or other effect on the price, market cap, or liquidity of any coin or NFT. Prices are driven by the open market and may fall regardless of any action the Service takes.
On-chain risk. All actions execute as public, irreversible Solana transactions subject to network congestion, slippage, price impact, failed or partial execution, stranded funds, and third-party outages. You accept all such risks by using the Service.
6. Data Accuracy and Availability
Data is sourced from third-party APIs and on-chain RPC providers. We do not guarantee the accuracy, completeness, timeliness, or reliability of any data presented, including balances, claimable fee figures, holder counts, market caps, token metadata, and any derived metrics. Data may be wrong, stale, cached, delayed, or missing at any time. Always cross-verify any value that matters to you against independent sources (a block explorer, the originating DEX, your own wallet) before acting. The Service is provided on an "as is" and "as available" basis without warranty of any kind. We may modify, suspend, or discontinue the Service at any time, with or without notice.
6a. Performance, Outages, and No Liability
The Service depends on third-party infrastructure (cloud hosting, third-party APIs, proxies, blockchains, RPC providers). Any of these can degrade, throttle, rate-limit, return stale results, time out, or fail entirely without notice. You acknowledge that:
- Performance may vary. Launches, mints, claims, and page loads may be slow, partial, or fail. Refreshes may serve cached data.
- Outages can and do happen. The Service may be partially or fully unavailable for extended periods, including while a transaction is in progress.
- We are not liable for any loss - including trading losses, stranded funds, failed or duplicate transactions, missed opportunities, mistaken decisions, or any other harm - arising from slowness, errors, missing data, outages, incorrect data, bugs, or any other defect or interruption.
If you observe a defect or anything that looks wrong, please email [email protected] so we can investigate. Reporting an issue does not create a right to compensation.
7. User Accounts and Authentication
You sign in by connecting a Solana wallet such as Phantom and signing a message, which our server verifies. Signing in is not a transaction and costs no fee. X sign-in through Privy is also available, for creator fees dedicated to an X handle. By signing in, you agree to the applicable terms of your wallet provider and, if you use X, of Privy and X. We store only the minimum information necessary to provide the Service: your wallet's public address and, if you use X, your Privy user identifier, X handle, display name, and profile picture URL. We do not store passwords.
Anyone may create an account by signing in. We may restrict, suspend, or revoke access at any time, including for violations of these Terms.
You are responsible for maintaining the security of the wallet and any X account you sign in with. Any action taken through an authenticated session is attributed to you.
8. Acceptable Use
You agree to use the Service only for lawful purposes, and only with wallets and coins you own or are authorized to operate. You must not:
- Use the Service to launch, mint, or claim fees for coins, collections, or wallets you do not control or lack authorization to operate
- Upload art, names, or other content you do not have the rights to use
- Use the Service to defraud, mislead, or harm holders or third parties
- Use automated scripts, bots, or scrapers to access the Service in bulk without prior written consent
- Attempt to circumvent rate limits, access controls or authentication mechanisms
- Use the Service for any purpose that violates applicable law or regulation, including securities, money-transmission, or anti-money-laundering laws
- Attempt to gain unauthorized access to any part of the Service, its infrastructure, or other users' wallets or data
We reserve the right to terminate or restrict access for any user who violates these Terms.
9. Compliance and Your Responsibility
You are solely responsible for determining whether your use of the Service - including launching coins and collections, minting, burning, and receiving creator fees - is lawful in your jurisdiction and complies with all applicable tax, securities, and financial regulations. Floor is a tool; how you use it is your responsibility. You are responsible for any tax consequences of launches, trades, mints, burns, and fee income.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Floor and its operators, contributors, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, loss of data, loss of funds, loss of goodwill, stranded or misdirected assets, or any other losses, arising out of or relating to your access to or use of (or inability to use) the Service.
Our total cumulative liability to you for any claim arising out of or relating to the Service shall not exceed USD $10.
10a. Indemnification
You agree to indemnify and hold harmless Floor, its operators, contributors, and affiliates from any claims, damages, losses, and expenses, including reasonable legal fees, arising out of your use of the Service, your violation of these Terms, or your violation of any law or the rights of any third party.
11. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that any launch, mint, or claim will succeed, or that any wallet key held on your behalf will remain secure.
12. Third-Party Services and Links
The Service integrates with and links to third-party platforms including Phantom, Privy, Pump.fun, Metaplex, Magic Eden, Tensor, Mallow, Jupiter, GMGN.ai, DexScreener, X/Twitter, Telegram, Solana blockchain networks, and RPC providers. We do not control and are not responsible for the content, availability, security, or practices of third-party services. Use of third-party services is subject to their respective terms and privacy policies.
13. Intellectual Property
The Floor platform, including its design, code, and branding, is the property of Floor. Token names, symbols, NFT art, and associated data are the property of their respective creators. You may not reproduce, distribute, or create derivative works from our platform without express written consent.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Floor operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
15. Changes to These Terms
We reserve the right to modify these Terms at any time. We will endeavor to provide notice of material changes by updating the "Last updated" date above. Your continued use of the Service after any modification constitutes acceptance of the revised Terms.
15a. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
